When participating in an ARTEMIS JU project, it is mandatory (before signing the Grant agreement) to sign a Project Cooperation Agreement (PCA) between the consortium members. There is no mandatory text or template provided by the JU for this PCA. Each consortium can make their own agreement, as long as it is compliant with the Council Regulation related to the ARTEMIS JU, the ARTEMIS-IA Supplementary Agreement (for ARTEMIS-IA members only), and the Grant Agreement.

However, the legal aspects of such a Project Consortium Agreement are very complicated. To help our members with this difficult issue, we provide you with a template that has been constructed by the lawyers of the ARTEMISIA Founding Companies, and that we strongly recommend to use in your endeavours to conclude a Project Cooperation Agreement.

This ARTEMIS Project Consortium Agreement (APCA) is a template agreement for partners in an ARTEMIS Project Consortium. The purpose of the APCA is to:

> specify the organisation of the project-related work between the parties;
> organise the management of the project;
> define rights and obligations of the parties, including, but not limited to, their liability and indemnification;
> provide provisions concerning Access Rights; and
> set out other rights and obligations of the parties.

The template APCA could be changed in agreement with partners of a specific project consortium. However changes (specifically on IPR) must be still in line with the Council Regulation related to the ARTEMIS JU, the ARTEMIS-IA Supplementary Agreement (for ARTEMIS-IA members only), and the Grant Agreement.
